Terms and Conditions

1. General

These terms govern the supply of services, products, and project work by JSP-IT Solutions Oy (Ltd), unless otherwise agreed in writing. Service-specific agreements, quotations, and statements of work supplement these terms.

2. Orders and agreement formation

An agreement is formed when the customer accepts a quotation, places an order confirmed by JSP-IT Solutions, or when service delivery begins with customer approval.

3. Scope and changes

Deliverables are based on the agreed scope. Changes to scope, timeline, or requirements may affect delivery schedule and pricing and are handled through a documented change process.

4. Pricing and payment

Prices are stated exclusive of VAT unless otherwise specified. Unless otherwise agreed in writing, invoices are payable within 14 days net from invoice date. Recurring services are typically billed per agreed billing cycle (for example monthly), and project work may be billed in advance, by milestones, or based on time and materials as agreed.

Late payments may result in statutory interest and reasonable collection costs. JSP-IT Solutions may suspend work or service performance in case of material payment delay after notice to the customer.

Any invoice-related remark shall be made within a reasonable time from invoice date so that possible issues can be investigated without undue delay.

5. Customer responsibilities

The customer provides necessary access, information, approvals, and decision-making resources without undue delay. The customer is responsible for the legality and integrity of its own data and content.

6. Intellectual property rights

Pre-existing materials, tools, frameworks, know-how, and general methods remain the property of their original owner. Unless otherwise agreed in writing, all intellectual property rights to pre-existing and reusable components remain with JSP-IT Solutions or the relevant third party.

Unless otherwise agreed in writing, customer-specific deliverables are provided to the customer under a non-exclusive, perpetual right to use for the customer's internal business purposes after full payment of all related invoices. Transfer or sublicensing rights, source code ownership transfer, and broader modification rights must be expressly agreed in writing.

Open-source components are governed by their applicable open-source license terms. JSP-IT Solutions may use general know-how, ideas, and non-customer-specific solution patterns developed during projects in other assignments, provided confidential information is protected.

7. Confidentiality

Both parties must keep confidential information secret and use it only for contractual purposes. Confidentiality obligations remain valid after service termination.

8. Warranties and limitation of liability

Services are provided with professional care and competence. Except where mandatory law provides otherwise, liability for indirect or consequential damages is excluded.

For business customers, maximum aggregate liability is limited to the higher of (i) total fees paid for the affected service during the 12 months preceding the event giving rise to the claim, or (ii) EUR 5,000, unless otherwise agreed in writing.

The above limitations do not apply to damage caused by wilful misconduct or gross negligence, breach of confidentiality obligations, intellectual property infringement, or any liability that cannot be limited under mandatory law. Consumer rights under mandatory consumer protection law remain unaffected.

9. Third-party services

Use of third-party software, hosting, APIs, or platforms is subject to their own terms. JSP-IT Solutions is not responsible for outages, policy changes, or defects caused solely by third-party providers.

10. Service levels and response times

Any service levels, response times, or handling times apply only when explicitly agreed in writing in a service agreement or service level agreement (SLA). Without a separate SLA, requests are handled in arrival order and prioritized based on business impact.

11. Term and termination

Unless otherwise agreed, ongoing services may be terminated with one (1) month's written notice. Fixed-term agreements cannot be terminated before the end of the fixed term unless otherwise agreed or required by mandatory law. Either party may terminate immediately for material breach not cured within reasonable time after written notice.

Fees accrued up to the effective termination date remain payable. At termination, access rights and service credentials may be disabled after a reasonable transition period, unless otherwise agreed or required by law.

Where technically possible and agreed, customer data export and transition assistance can be provided as a separate chargeable service.

12. Force majeure

Neither party is liable for delays or non-performance caused by events beyond reasonable control, including severe network outages, labor disputes, natural events, or government actions.

13. Governing law and dispute resolution

These terms are governed by Finnish law. Disputes are primarily resolved through negotiations.

For business customers, unless otherwise agreed, disputes are resolved by the District Court of South Ostrobothnia (Etelä-Pohjanmaan käräjäoikeus) as the court of first instance.

For consumers, disputes are resolved in the competent court as provided by mandatory law, and these terms do not limit consumer rights to bring proceedings in a competent court of their domicile where mandatory law so provides.

14. Updates to these terms

We may update these terms to reflect legal and operational changes. The current version is available on this page.

For new orders, the version in effect at the time of order applies unless otherwise agreed. For ongoing services, material changes are notified in advance and become effective on the date stated in the notice. If a material change is unacceptable to the customer, the customer may terminate the affected ongoing service before the change takes effect, subject to agreed notice periods unless mandatory law provides otherwise.

Updates to this page do not retroactively modify already accepted one-time project orders unless expressly agreed in writing.

15. Additional terms for consumers (B2C)

When the customer is a consumer (natural person acting mainly outside business activity), the following additional terms apply. If there is a conflict between general terms and this section, this section prevails for consumers.

16. Consumer pricing and order information

For consumer sales, prices and possible delivery charges are shown before order confirmation. Consumer prices are presented with VAT included unless otherwise stated. The customer receives order confirmation in a durable format (for example by email).

17. Delivery and service performance

Products and services are delivered according to the agreed scope and schedule. If delivery is delayed materially, the consumer may request performance within a reasonable additional time and may terminate according to mandatory consumer law where applicable.

For project deliveries, the customer shall review deliverables without undue delay and report material defects within a reasonable review period. Defects within agreed scope are corrected within a reasonable time. New requirements or changed requirements are handled through agreed change management and may be separately chargeable.

18. Right of withdrawal (distance sales)

Where mandatory consumer law grants a right of withdrawal, consumers generally have 14 days to withdraw from distance contracts from the date of contract conclusion (services) or receipt of goods (products).

The right of withdrawal may be excluded or lost in situations permitted by law, including fully performed services started at the consumer's explicit request and acknowledgment, digital content delivered immediately with required consent, and custom-made or clearly personalized products.

Consumers can also withdraw online contracts using the website withdrawal function: Withdrawal form. The customer receives confirmation of receipt of the withdrawal notice by email without undue delay.

To use the right of withdrawal, send an unambiguous withdrawal notice before the withdrawal period ends to info@jsp-it.com or by post to JSP-IT Solutions Oy (Ltd), Rantakyläntie 452, 62800 Vimpeli, Finland.

The customer may use a model withdrawal statement by stating: "I hereby withdraw from my contract concerning the following service/product", followed by order details, customer name, contact details, date, and (if sent by post) signature.

For goods, the customer shall return goods without undue delay and no later than 14 days from giving withdrawal notice, unless otherwise required by mandatory law. Unless otherwise stated in mandatory law or agreed terms, the customer is responsible for direct return costs.

Refunds are made without undue delay and within the period required by mandatory law, using the same payment method where possible unless otherwise agreed. If service performance has begun during the withdrawal period at the consumer's explicit request, JSP-IT Solutions may charge proportionally for work performed before withdrawal as permitted by mandatory law.

19. Defects, complaints, and remedies

Consumers have rights under mandatory consumer protection law regarding defective products and services. Complaints should be made within a reasonable time after the defect is noticed. Primary remedies include correction or replacement when applicable, and if this is not possible, price reduction or contract termination as provided by law.

20. Dispute resolution for consumers

We aim to resolve disputes primarily through direct negotiations. Finnish consumers may refer unresolved matters to the Consumer Disputes Board (Kuluttajariitalautakunta) after first contacting Consumer Advisory Services (Kilpailu- ja kuluttajavirasto).
